Institutional Subscription Terms
These Institutional Subscription Terms ("Institutional Terms") govern the purchase and use of annual subscriptions by early childhood settings — including kindergartens, nurseries, preschools, daycare centres, and similar educational institutions ("Institution", "you"). These Institutional Terms supplement and, in the event of conflict, take precedence over the general Terms of Use for institutional subscription matters.
By placing an institutional subscription order, the individual doing so represents that they have authority to bind the Institution to these Institutional Terms.
1. The Subscription
Balagan Childhood offers an annual subscription ("Institutional Subscription") granting all staff members of one named early childhood setting unlimited access to download and print the Balagan Childhood institutional curriculum materials during the 365-day subscription period.
The Institutional Subscription covers one physical setting location. Organisations with multiple locations must purchase a separate subscription per location, unless otherwise agreed in writing.
2. Pricing and Payment
2.1 Price
The annual subscription fee is EUR 999 + applicable VAT, unless a different price has been expressly agreed in writing (e.g., via a founding partner agreement or promotional pricing). Prices are subject to change on renewal; we will notify you of any price change at least 60 days before your renewal date.
2.2 Invoicing
Institutional subscriptions are billed by invoice. Upon confirmed order, we will issue an invoice to the billing email address you provide. Invoices state the subscription period, total amount (excluding and including VAT), and bank transfer details.
2.3 Payment Terms
Payment is due within 14 days of the invoice date by bank transfer to the account stated on the invoice. The subscription is activated upon receipt of cleared payment. Late payment may attract statutory interest under Finnish law (Laki kaupallisten sopimusten maksuehdoista, 30/2013) and we reserve the right to suspend access until payment is received.
2.4 VAT
VAT is applied in accordance with EU VAT rules. Business customers with a valid EU VAT number may be eligible for reverse charge. Provide your VAT ID when placing your order. Finnish institutions are subject to standard Finnish VAT rates. For institutions outside the EU, local tax rules apply and we recommend you seek local tax advice.
3. Subscription Period and Renewal
The subscription commences on the date your access is activated (following confirmed payment) and runs for 365 days ("Subscription Period"). The subscription does not auto-renew automatically. We will send a renewal reminder at least 30 days before the end of your Subscription Period. To renew, place a new order. Renewal pricing will be confirmed at the time of renewal.
Access to download materials expires at the end of the Subscription Period. Materials already downloaded and printed during the active period may continue to be used within the setting, but no new downloads may occur after expiry without renewal.
4. Licence Scope
Subject to payment and compliance with these Institutional Terms, we grant the Institution a non-exclusive, non-transferable licence during the Subscription Period to:
- Allow all staff members of the named setting to access and download institutional curriculum materials from the client dashboard;
- Print the materials an unlimited number of times for use within the named setting;
- Use the printed materials in educational activities with the children enrolled at the named setting.
4.1 Restrictions
The following are prohibited:
- Sharing download credentials or downloaded files outside the named setting's staff;
- Using the materials at any other location or sister site not covered by the subscription;
- Distributing printed or digital copies to parents, guardians, or external parties (other than incidental use as part of a planned educational activity at the setting);
- Reproducing or republishing materials on a website, app, or any public platform;
- Using materials for commercial purposes, including charging participants for access to materials;
- Removing or obscuring copyright notices or Balagan Childhood branding.
5. Nature of the Content
Our institutional curriculum materials are created with the assistance of AI tools and reviewed, validated, and approved by human professionals with relevant expertise in early childhood education and Jewish educational content. All materials are provided for educational and enrichment purposes only.
The Institution is solely responsible for assessing the suitability of materials for its specific setting, children, staff, and regulatory context, including any obligations under local education law, child protection frameworks, or special educational needs requirements. Balagan Childhood makes no representation that materials comply with the curriculum standards or regulatory requirements of any particular country or jurisdiction.
6. Cancellation and Refunds
Institutional subscriptions are not eligible for refund once access has been activated, as the digital content is made available immediately upon subscription commencement. If you cancel before we have activated your access (i.e., before payment is confirmed and the subscription period begins), you will not be charged.
If a product is technically inaccessible due to our error, we will remedy the issue promptly.
7. Data Processing
When the Institution purchases a subscription and its staff members create accounts, Balagan Childhood processes personal data (name, email, billing information) as set out in our Privacy Policy. For purposes of GDPR, Balagan Childhood acts as data controller for the data of individual staff account holders.

8. Limitation of Liability
To the maximum extent permitted by law, Balagan Childhood's total liability to the Institution under or in connection with the Institutional Subscription shall not exceed the subscription fees paid in the 12 months preceding the event giving rise to the claim.
We are not liable for any indirect, consequential, or special losses, loss of profits, or reputational harm arising from use of our materials or the Service.
9. Term and Termination
Either party may terminate the Institutional Terms by written notice if the other party commits a material breach and fails to remedy it within 14 days of receiving written notice of the breach. We may also suspend or terminate access immediately if the Institution breaches the licence restrictions in Section 4.1.
Upon termination or expiry, the licence to download materials ends. Provisions that by their nature should survive termination (intellectual property, limitation of liability, governing law) will survive.
10. Governing Law
These Institutional Terms are governed by the laws of Finland. Any disputes shall be referred to the District Court of Helsinki (Helsingin käräjäoikeus) as first instance, unless both parties agree to an alternative dispute resolution mechanism.
